Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective April 18, 2024, Douglas Williams, Ph.D. resigned from his position as Executive Vice President and President, Research and Development of Sana Biotechnology, Inc. (the “Company”). Dr. Williams resigned voluntarily for personal reasons and not as a result of any disagreement with the Company.
