Corporate Governance Overview

The Board of Directors of Sana Biotechnology, Inc. (the "Company") sets high standards for the Company's employees, officers and directors. Implicit in this philosophy is the importance of sound corporate governance. It is the duty of the Board of Directors to serve as a prudent fiduciary for shareholders and to oversee the management of the Company's business. To fulfill its responsibilities and to discharge its duty, the Board of Directors follows the procedures and standards that are set forth in these guidelines. These guidelines are subject to modification from time to time as the Board of Directors deems appropriate in the best interests of the Company or as required by applicable laws and regulations.

All employees, consultants, scientific advisors and directors have a duty to report any known or suspected violation of this Code, including violations of the laws, rules, regulations or policies that apply to Sana. Reports may be made to the person’s manager, the Compliance Officer, or to the Sana Ethics Hotline at:

Any reports submitted via the Sana Ethics Hotline will be reviewed by the Compliance Officer and subsequently reported to the Audit Committee of Sana’s Board of Directors. You may remain anonymous and will not be required to reveal your identity in submissions or calls to the Sana Ethics Hotline, although providing your identity may assist Sana in investigating your concern.
